# Whitepaper

Diner Clicker and the proposed TIPS token. Plans, terms and risks.

**Public working draft · Updated 14 September 2026 · Version 0.3**

Diner Clicker is a browser game about growing and running a diner. This white paper explains the plans for the TIPS blockchain token and how it would connect to the game. The project aims to release the game officially and launch a transferable, tradable token in January 2027. Exact dates and launch terms are not yet confirmed.

Mystery Soul's is the project's intended name in France. It is not yet registered or incorporated. The responsible legal entity, its management and its registration details have not yet been established.

This working draft has not been notified to a competent authority, approved by a management body or validated as the regulatory filing. It does not establish MiCA compliance. It does not open a token sale or collect subscriptions. The final offering documents and applicable terms will need to identify the responsible entity and the rights, conditions and risks of the token.

### Regulatory status

No competent authority in any Member State of the European Union has approved this document. Notifying an authority of a crypto-asset white paper does not mean that the authority has approved it. The responsible offeror or person seeking admission to trading will be identified after the legal entity is formed. [MiCA Articles 6 and 8](https://www.esma.europa.eu/publications-and-data/interactive-single-rulebook/mica/article-6-content-and-form-crypto-asset).

For the intended public-offer or admission-to-trading route under Title II of MiCA, the responsible legal person must be established and identified. Final classification, notification and other applicable requirements remain outstanding. The project's intention to make the token tradable must be considered when determining the applicable disclosure route. [MiCA Article 4](https://www.esma.europa.eu/publications-and-data/interactive-single-rulebook/mica/article-4-offers-public-crypto-assets-other), [Article 5](https://www.esma.europa.eu/publications-and-data/interactive-single-rulebook/mica/article-5-admission-trading-crypto-assets).

The responsible management body's formal statement and approval date are to be confirmed. Management has not given a confirmation of compliance for this working draft.

### Summary

Players grow ingredients, prepare recipes, serve dishes and develop their diner. The player guide explains these game systems. Game achievements, illustrations and roadmap plans do not themselves create token rights.

The game distinguishes **Coins**, **Stars**, existing **in-game TIPS**, and the proposed blockchain token described as **$TIPS**. An in-game balance, purchased game currency, leaderboard score or digital item does not automatically become a transferable blockchain asset. TIPS is the proposed on-chain name and symbol; the dollar sign is used in the project's written materials.

The token is planned as an ERC-20 token on Base. Browser gameplay and game balances would stay off-chain, with deposits and withdrawals connecting the game to the blockchain under defined conditions. The final network, contracts, supply, allocation, token rights and custody arrangements are to be confirmed.

January 2027 is a target, subject to entity formation and the remaining legal, technical and operational requirements. Token issuance, distribution, trading and withdrawal availability may have different dates. No trading venue or listing agreement is confirmed in this document.

The token can lose some or all of its value. It may become difficult or impossible to transfer, and a liquid market may never develop. The game and token-related services may become unavailable. No price, resale opportunity, liquidity, financial return or increase in value is promised. The token is not covered by EU investor compensation or bank deposit guarantee schemes.

Read the complete document, the final token terms and any applicable distribution terms before making a decision. This summary is an introduction. This working draft does not constitute an offer of financial instruments or a prospectus.

### Part A Offeror or person seeking admission to trading

Mystery Soul's is the intended project name. It is not an incorporated or registered company at the date of this version. The entity responsible for a public offer or admission to trading will need to be identified before the intended launch proceeds.

| Information | Status |
| ---------------------------------------------------------- | --------------- |
| Exact legal name and legal form | To be confirmed |
| Registered address and head office | To be confirmed |
| Formation date, registry and registration number | To be confirmed |
| Legal entity identifier and applicable national identifier | To be confirmed |
| Business telephone and email | To be confirmed |
| Support process and response time | To be confirmed |
| Parent entity, if any | To be confirmed |

| Responsible entity's business activities | To be confirmed |
| Financial condition, liabilities and funding requirements | To be confirmed |

Financial information will need to describe the entity's actual resources, liabilities and material dependencies. Player targets and roadmap ambitions do not establish its ability to fund or operate the project.

### Part B Issuer where different

The issuer has not yet been identified, and it is not yet known whether it will also be the offeror. If they are different entities, the final white paper will describe the issuer's registration, management, financial condition and responsibilities, as well as its relationship with the offeror.

### Part C Trading platform operator and other preparers

Trading-platform operators involved in preparing the white paper, other responsible preparers and service providers have not yet been confirmed. Once those arrangements are in place, the final white paper will identify them, explain their roles and disclose any applicable authorisations.

This document does not confirm a listing, platform agreement, regulatory authorisation or professional endorsement.

### Part D Crypto asset project

#### Game and purpose

Diner Clicker lets players grow ingredients, cook dishes, upgrade their diner and take part in the game's economy. These game systems are separate from the proposed blockchain token and future services that would use it.

The token's exact uses, service providers, access conditions and legally enforceable rights are to be confirmed. Its legal classification will depend on all intended uses and rights. TIPS has not been established as a utility token under the legal definition.

#### Contributors and resources

The legal identities and roles of the people and organisations responsible for development, operations, security review, distribution and token-related services are to be confirmed. Committed resources, funding dependencies, related-party arrangements and the use of any collected funds or crypto-assets are also to be confirmed.

#### Development plan

Targets may change as legal, technical or operational requirements are completed.

### Part E Public offer or admission to trading

#### Offering structure

The distribution route is not yet confirmed. It could involve a public sale, an airdrop, another form of distribution or admission to trading. Participating countries, restrictions, age requirements and eligibility rules are also to be confirmed.

| Term | Status |

| Treasury, insider, related-party and market-making conflicts | To be confirmed |

#### Airdrop and promotional distribution

A leaderboard score does not guarantee a token allocation or create an enforceable promise of delivery. Campaign rules are not yet confirmed. They will need to cover eligibility, scoring, snapshot dates, the allocation pool, claim deadlines, geographic restrictions, account requirements, anti-fraud rules, disputes, costs and unclaimed tokens.

The relationship between existing in-game TIPS, purchases, spending and any future token allocation is to be confirmed. No automatic conversion or entitlement is established by this document.

#### Cancellation and refunds

Where the statutory right under MiCA Article 13 applies, a retail holder has a 14-calendar-day right to withdraw from the purchase agreement. The applicable conditions, exceptions, notice channel and refund procedure will be set out in the final offering terms. Cancelling a primary purchase is separate from withdrawing tokens deposited in a game service. | Relationship between token ownership and the game balance | To be confirmed |
| Conversion of existing in-game TIPS | No automatic conversion established; final policy to be confirmed |

This document does not grant ownership in a game-operating company, equity, profit sharing, fixed yield, price support or guaranteed resale. Any proposed rights of that kind would require a separate legal assessment.

#### Deposits and withdrawals

The proposed deposit and withdrawal design includes a global withdrawal availability date with a minimum interval of 184 days from deployment. This is a proposed system-wide date, rather than a new 184-day period for each deposit. Whether the final system retains this design, each contract's exact availability date, operational limits and administrative powers are to be confirmed.

Pauses, authorisation requirements, limits or inadequate reserves can delay or prevent withdrawal even after an availability date. A deposit does not by itself establish that all withdrawal obligations can be met. The custodian, legal title to assets, segregation, reserve funding, solvency arrangements and holder remedies are to be confirmed.

### Part H Underlying technology

#### Architecture

Under the proposed design, browser gameplay and server-managed balances would remain separate from blockchain deposits and token delivery. The planned components are an ERC-20 token, a deposit vault, a separately funded withdrawal distributor, a rewards distributor and an airdrop distributor.

Game-to-chain settlement would require transaction confirmation, event processing, ledger settlement and reconciliation. The final deployed contracts, dependencies, providers and production availability are to be confirmed.

#### Governance and control

The proposed design includes privileged pause controls, role-based administration, withdrawal authorisation, signer replacement and recovery functions. Final role holders, key-management arrangements, any multisignature requirements, time delays and limits on administrative powers are to be confirmed.

The contracts are intended to be non-upgradeable. Holders will still need to know which operational controls exist, which services the system depends on, and whether contracts could be replaced or redeployed. Those details are to be confirmed.

#### Network and security

Base is the proposed network. The final description of network consensus, Ethereum settlement, sequencer dependencies, transaction finality, bridging and outage handling is to be confirmed.

No independent audit report is provided by this document. The completion and scope of any independent security audit are to be confirmed; testing alone does not establish an independent audit.

#### Digital items

Digital collectibles are separate from the proposed ERC-20 token. An ERC-1155 design is proposed for item editions, with dynamic gameplay state managed off-chain. Final collections, issuers, rights and transfer mechanisms are to be confirmed.

The name NFT does not establish a legal exemption. Each collection's actual rights and economic characteristics, including editions or series, require their own classification assessment.

### Part I Risks

| Risk | Possible consequence |
| ------------------------------ | -------------------------------------------------------------------------------------------------------------------------------------------- |
| Entity formation and launch | Registration, classification or other unmet requirements can delay or prevent the planned launch. |
| Project funding and continuity | Funding limitations or operator failure can delay development or stop the game and token-related services. |
| Value and liquidity | The token can lose all value; a buyer, trading venue, market depth or resale opportunity is not guaranteed. |
| Withdrawal restrictions | Locks, pausing, limits, authorisation requirements or inadequate reserves can prevent or delay withdrawal. |
| Custody and insolvency | Deposits may be exposed to operator or service-provider failure; recovery depends on legal rights and actual asset segregation. |
| Smart contracts | Bugs, dependency failures or incorrect deployment can cause irreversible loss or unavailable functions. |
| Privileged controls and keys | Compromised administrators, signers or services can stop operations or cause loss within their powers. |
| Network and infrastructure | Sequencer, bridge, settlement, RPC or event-processing failures can delay transactions or disrupt services. |
| Game accounting | Errors in conversion, settlement or reconciliation can affect balances and redemption claims. |
| Economy and distribution | Concentrated holdings, treasury activity, changed rewards or unlock schedules can affect availability and market conditions. |
| Airdrop eligibility | Scoring, snapshots, exclusion rules, claim windows and legal restrictions can result in no allocation or a smaller allocation than expected. |
| Cybersecurity and user error | Phishing, malicious approvals, lost keys or incorrect addresses and networks can cause loss; transactions may be irreversible. |
| Regulation and tax | Classification, permissions, participation restrictions, service availability and tax treatment may change. |
| Counterparties and conflicts | Providers or counterparties may fail or have incentives that conflict with holders' interests. |
| Accounts and data | Account requirements, verification or data loss can restrict access; off-chain game data does not inherit blockchain permanence. |

Project-specific financial information, material security findings and any further known risks are to be confirmed in the final disclosures. Planned controls cannot eliminate all risks.

The token is not covered by EU investor compensation or bank deposit guarantee schemes.

### Part J Climate and environmental impacts

The environmental figures will need to account for the final network and its consensus and settlement mechanisms. The following information is not yet confirmed.

| Environmental information | Status |
| ------------------------------------------------ | -------------------------------------------------- |

| Crypto-asset identifier | To be confirmed |
| Consensus mechanism and incentive structure | Final network-specific description to be confirmed |
| Reporting and estimation periods | To be confirmed |
| Annual energy consumption | To be confirmed |
| Sources, calculation methodology and uncertainty | To be confirmed |
| Applicable supplementary indicators | To be confirmed |

No zero-impact, carbon-neutrality or negligible-impact claim is made. Figures will need to be supported by an appropriate methodology and reported without subtracting carbon offsets. [Delegated Regulation EU 2025/422](https://eur-lex.europa.eu/legal-content/en/TXT/PDF/?uri=CELEX%3A32025R0422).
